We provided advice on Flip to a startup that wants to advance overseas. We established an overseas (Singapore) corporation that must be preceded when flipping and provided legal opinions and advice on tax (transfer income tax, etc.) and reporting foreign exchange transactions when there are many shareholders. In addition, we prepared a Shareholder Deferred Exchange Agreement to enable stock exchanges with overseas corporations in due course and provided legal advice in the process of signing a SAFE (Simple Agreement for Future Equity) investment contract with a world-class accelerator.
