Advised a promising Korean startup on the process of signing a contract to exchange stock with an American startup. In exchange for the Korean startup’s shareholders to transfer their stock to the American startup, the American startup generated new stock and issues it to the Korean startup’s shareholders. In addition, in the process of exchanging stocks as described above, we provided legal advice for shareholders to sign contracts between shareholders regarding shareholders’ rights and obligations such as stock disposal, joint selling rights, and priority purchase rights (ROFR) with existing shareholders of the American startup.
